Anthropic Eyes Potential Record US$100 Billion IPO, With Wilson Sonsini and Freshfields Among Legal Advisers
2026-10-27

Claude developer Anthropic publicly filed for an initial public offering with the US Securities and Exchange Commission on October 26, 2026, with plans to list on the Nasdaq Global Select Market under the ticker symbol "ANT".

According to the prospectus, Wilson Sonsini Goodrich & Rosati is acting as issuer's counsel, while Freshfields is advising the underwriters on certain legal matters relating to the offering.

Orrick, Herrington & Sutcliffe advised on certain executive compensation and equity matters; Cleary Gottlieb Steen & Hamilton and John Morley advised the Long-Term Benefit Trust on certain governance matters; and Cravath, Swaine & Moore advised the co-founders on certain governance matters. Goldman Sachs and Morgan Stanley are leading the underwriting syndicate, with another 20 banks participating.

According to media reports and market sources, Anthropic is seeking to raise up to approximately US$100 billion through the IPO. If achieved, the offering would surpass the US$75 billion raised in SpaceX's June IPO and set a new global IPO fundraising record.

The prospectus disclosed first-half 2026 revenue of approximately US$16.29 billion, compared with US$1.16 billion a year earlier, and a net loss of approximately US$80.75 billion. This included US$72.39 billion in losses from changes in the fair value of convertible notes, derivative liabilities and simple agreements for future equity (SAFEs). The company expects compute and infrastructure expenses to continue rising and remain its largest operating expense.
